Terms
Terms of use and service
Effective:
These terms apply when you use hamzhstudios.com and when you work with Hamzh Studios. Please read them before you accept a quote. If a written quote or project agreement you have signed or accepted says something different, that document prevails for its project.
1. Who we are
Hamzh Studios ("the studio", "we", "us") is a software studio in the Kingdom of Saudi Arabia that builds websites, web applications, bots, automation and booking platforms.
- Contact: contact@hamzhstudios.com
- Location: Riyadh, Kingdom of Saudi Arabia
2. Words we use
- Client or you: the person or business that asks for or accepts a quote from us.
- Quote: our written offer for a project, sent by email, setting out the scope, price, payment schedule and timeline.
- Project: the work described in an accepted quote.
- Deliverables: what we hand over for a project, such as designs, code, configured systems and documentation.
- Third party services: services we do not own that a project relies on, such as hosting, domains, email, payment gateways, app stores and outside APIs.
- In writing: includes email.
3. Using this website
You may use this site to learn about our services and contact us. You agree not to:
- disrupt, overload or try to gain access to parts of the site or its hosting that are not meant for you;
- copy the site’s design, text or code, or use our name or logo in a way that suggests we endorse you;
- use the site for anything unlawful or to send us harmful code.
Security research is welcome when done in good faith: report what you find as described in our security.txt file, give us reasonable time to fix it before disclosing it, and avoid accessing other people’s data or degrading the service. We will not pursue action against research that follows these rules.
4. Prices and quotes
- Prices on this site are a guide. They are set in Saudi riyals, and dollar figures are fixed conversions shown for convenience.
- The price that binds us is the one in your quote. Changing the prices on this site never changes a quote we have already agreed.
- Each quote states how long it is valid. If it does not, it is valid for 14 days from the date we send it.
- If value added tax applies, it is shown on your quote and invoice.
- Running costs of third party services, such as hosting or domain renewals, are separate unless your quote says they are included.
5. Starting a project
A project starts when you accept a quote in writing and make any first payment it requires. Timelines in a quote start from that point and assume you send the content, access and feedback we need on time. Delays in receiving them move the timeline by the same amount.
6. Payment
- You pay according to the schedule in your quote, by one of the methods on our Payment page. Those methods are offered to clients in Saudi Arabia; for other clients we agree a method in writing.
- We send payment details only after a quote is accepted, and only from contact@hamzhstudios.com. We will never ask you to pay a different account by phone, text or social media. If anyone does, email us to confirm before you pay. We are not responsible for payments made to details we did not send.
- If a payment is more than 14 days late, we may pause work until it is received, and the timeline moves accordingly.
- Ownership of deliverables passes to you only once the related payments are made in full (see Ownership).
7. Changes to the scope
Anything not described in your quote is a change. We are happy to discuss changes, and we will confirm the extra cost and any effect on the timeline in writing before starting them. Changes agreed in writing become part of the project.
8. What we ask of you
- Give us accurate information and the content, access and decisions we need, on time.
- Make sure you have the right to use everything you send us, such as text, images, logos and data, and that using it in your project does not break any law or anyone else’s rights.
- Use the deliverables lawfully, including any laws that apply to your own customers’ data.
- Keep your own passwords and accounts secure, and change any access you shared with us when the project ends.
- Have one person who can give feedback and approvals on your behalf.
9. Review and acceptance
When we deliver a milestone or the final work, you have the review period stated in your quote, or 7 days if none is stated, to tell us in writing about anything that does not match the agreed scope. We will fix those points. If we receive no response within the review period, or if you start using the deliverables in live operation, they are treated as accepted.
10. Third party services
Many projects rely on third party services. They are provided by those companies under their own terms and prices, which may change. We are not responsible for their outages, price changes, policy decisions or account suspensions, but we will help you deal with them where we reasonably can. Where possible, accounts for your project are opened in your name so you keep control of them.
11. Ownership
- Custom work: once you have paid in full, you own the custom deliverables we made specifically for your project, such as your site’s design, content and code written for you.
- Our tools: we keep ownership of the tools, libraries, templates, components and know how we had before your project or developed independently of it. Where they are part of your deliverables, you get a permanent, non exclusive licence to use them as part of that project.
- Licensed products: our booking platform and other studio products are licensed, not sold. The licence fee in your plan gives you the right to use the product for your business as described in your quote; it does not transfer ownership of the product or its source code, and you may not resell or copy it for others.
- Open source: open source components stay under their own licences, which we will tell you about where they affect you.
- Your material: content and data you give us remain yours. You allow us to use them only to deliver your project.
- Portfolio: unless you ask us not to in writing, we may show the finished work, your name and logo in our portfolio. We never show confidential information, and we remove items on request.
12. Confidentiality
Each of us will keep the other’s confidential information private and use it only for the project, both during the work and after it ends. This does not cover information that is already public through no fault of ours, that we already had or developed independently, or that the law or a competent authority requires us to disclose. How we handle personal data is set out in our Privacy policy.
13. Support after delivery
For 14 days after acceptance, or the period stated in your quote, we fix at no charge any defect that makes the deliverables differ from the agreed scope. After that, and for new features, support is quoted separately or covered by a support plan. This does not cover problems caused by changes made by you or others, by third party services, or by use outside what was agreed.
14. Our promises and their limits
We will do the work with reasonable skill and care, in line with the agreed scope. Apart from that and anything the law does not allow us to exclude, the site and deliverables are provided as they are, and we do not promise that software will be free of every error, uninterrupted, or suitable for a purpose that was not agreed in writing.
15. Limitation of liability
- Our total liability for a project is limited to the amounts you have paid us for that project in the 12 months before the claim.
- We are not liable for indirect losses, or for loss of profit, revenue, data or goodwill that could not reasonably have been expected when the project was agreed.
- We are not liable for loss caused by third party services, by your content or instructions, or by changes made by anyone other than us.
- Nothing in these terms limits liability for deceit or gross negligence, or any liability that the law of the Kingdom does not allow to be limited.
16. Your responsibility for your content
If a claim is made against us because content, data or instructions you provided break the law or someone else’s rights, you will cover the reasonable costs and losses that result, and we will tell you promptly about any such claim.
17. Cancellation and refunds
- Our work is made to your specifications, so the seven day return right that applies to ready made products under the E-Commerce Law does not apply to it, to the extent the law allows.
- You may end a project at any time by telling us in writing. You pay for the work done up to that point and any costs we have committed to on your behalf, and we hand over the work you have paid for.
- Any amount you paid in advance for work not yet started is refunded within 30 days, less any fees charged by the payment provider.
- Licence fees for studio products are not refundable once the product has been set up for you, unless we fail to deliver what was agreed.
18. Ending a project
Either of us may end a project in writing if the other seriously breaches these terms or the quote and does not fix the breach within 14 days of being asked to. We may also end it straight away if we are asked to do something unlawful. Sections that by their nature should continue, such as ownership, confidentiality, payment for work done and liability, continue after a project ends.
19. Events outside our control
Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as natural disasters, widespread internet or power outages, failures of major third party services, or government action. The affected party will tell the other promptly, and timelines move accordingly. If such an event lasts more than 30 days, either of us may end the project in writing, and work done up to that point is paid for.
20. Student rate
The student discount is open to students from high school to university. It applies to websites and web apps only and needs valid proof of current enrolment. For a student under 18, a parent or guardian must agree to the project. We may decline it if proof cannot be verified. It cannot be combined with other offers unless we agree in writing.
21. Communication
Email is our official channel. Notices under these terms are valid when sent to contact@hamzhstudios.com, or to the email address you use with us, and are treated as received on the next working day.
22. Governing law and disputes
These terms and any project with us are governed by the laws of the Kingdom of Saudi Arabia. If a dispute arises, we will first try to resolve it amicably within 30 days of one of us raising it in writing. If that does not work, the competent courts in Riyadh have jurisdiction.
23. General
- Whole agreement: for each project, these terms and your accepted quote are the whole agreement between us and replace earlier discussions about it.
- Order of priority: if they conflict, the accepted quote or signed agreement comes first, then these terms.
- Severability: if part of these terms is found invalid, the rest still applies.
- No waiver: not enforcing a right straight away does not mean giving it up.
- Transfer: neither of us may transfer a project to someone else without the other’s written consent, except that we may do so as part of a transfer of the studio’s business.
- Team: the work may be carried out by any member of our team, and we remain responsible for it.
24. Changes to these terms
We may update these terms. The new version applies from its effective date and does not change projects already agreed, unless you agree in writing.
25. Language
These terms are available in Arabic and English. If there is any difference between them, the Arabic version prevails.
